These terms govern services provided to clients using the offer presented, among other places, on Oferteo.
2. Scope of services
The service provider offers website design and development; online store development and implementation; website modernisation, development and maintenance; programming and implementation work; technical maintenance, updates and bug fixes; and other services agreed individually with the client.
The detailed scope, completion date, remuneration and method of communication are agreed individually with the client in each case.
3. Entering into a contract
A contract is entered into when the parties confirm the scope and terms of the work, particularly the price, completion date and payment arrangements.
Arrangements may be made by email, Oferteo messages, instant messaging, SMS or another recorded form.
These terms form an integral part of the arrangements if the client was made aware of them before entering into the contract.
4. Fees and payment
Service prices are agreed individually unless the offer expressly states a fixed price.
The service provider may require an advance payment or prepayment before work begins.
Unless otherwise agreed, payment is made by bank transfer to the account specified by the service provider.
Payment is due within seven days of delivery of the invoice or bill unless the parties agree otherwise.
Late payment may result in work being suspended until the outstanding amount is paid.
5. Performance of services
The client undertakes to provide the materials, data, content, access credentials and information necessary to perform the service.
The delivery period starts when the client has supplied all necessary materials and, if agreed, the advance payment has been received.
The service provider performs the service with due care and in accordance with the agreed scope.
Changes outside the agreed scope may require an additional quotation and an extension of the completion date.
6. Rights and obligations
The service provider undertakes to perform the service as agreed; inform the client of material circumstances affecting performance; and keep supplied data confidential, subject to applicable law.
The client undertakes to cooperate as needed to perform the service, provide materials and information on time, and pay fees on time.
7. Complaints
The client may submit a complaint about a service by email to [email protected].
The complaint should include at least the client’s details, a description of the concerns, identification of the service concerned and, where possible, materials demonstrating the issue.
Complaints are considered within 14 days of receipt.
The complaints procedure does not cover changes, new features or work outside the agreed scope.
8. Withdrawal from the contract
A client who is a consumer has the right to withdraw from a distance contract within 14 days, unless they have consented to performance beginning before the withdrawal period expires and have been informed that the right to withdraw will be lost once the service has been fully performed.
If performance began before the end of the withdrawal period at the client’s express request, the client must pay for the services performed up to withdrawal.
9. Copyright
Unless otherwise agreed, economic copyrights are transferred or a licence is granted once all fees have been paid.
Until full payment, all materials, designs and elements produced by the service provider remain its property or are supplied conditionally.
The service provider may include the completed project in its portfolio unless the parties agree otherwise in writing.
10. Liability
The service provider is not liable for delays or non-performance caused by the client’s lack of cooperation; delayed delivery of materials; failures of third-party services, hosting, domains, platforms or tools; or force majeure.
The service provider’s liability to the client excludes lost profits unless mandatory law provides otherwise.
11. Personal data
The rules for processing personal data are set out in the separate Privacy Policy.
12. Final provisions
Polish law applies to matters not covered by these terms.
These terms take effect on the date stated at the beginning of the document.
The service provider may update these terms in accordance with applicable law. Contracts entered into before an update remain subject to the version in force when the contract was entered into, unless the parties agree otherwise.
